Located in the Silicon Valley, the epicenter of the venture community worldwide, White Summers can help you navigate and document the process of raising investment capital, whether from venture capital firms (VCs), angels, institutional investors, or other sources. We handle all types of security offerings, such as preferred stock financings and sale of convertible notes (bridge financings). We will structure the offering to comply with state and federal securities exemptions and make the required securities exemption filings on behalf of our clients.

  • Corporate Clean-up. Before you go fundraising, we will help your business become more venture capital friendly. This usually involves corporate clean-up relating, for instance, to founder stock issuances and vesting, or to properly documenting the ownership (and transfer) of intellectual property by (and to) the company. Sometimes, a business that was formed as a limited liability company needs to be converted to a corporation, prior to commencing fundraising activities.

  • Business Plan. We can work with you to fine-tune your business plan and executive summary. Because obtaining venture capital is often a difficult process and only a small percentage of businesses achieve this, we certainly cannot guarantee success, but as business attorneys who have just about seen it all, time and time again, we can certainly improve your odds.
